Terms & Conditions 

A. Pricing:

• Prices include all applicable 3rd party royalties, unless otherwise noted.
• Individual quotations are valid for 7 business days from date of issue.
• Davar works tirelessly to mitigate the impact of product cost changes. However, sharp fluctuations in component, logistics and foreign exchange costs are largely out of our control. Consequently, general pricing terms may change without notice.
• Audibible™ prices are exclusive of the cost of Micro SD cards, which are priced separately due to volatility of the Micro SD card market and SD card capacity selected by the customer (2GB; 4GB, etc).

B. Ordering, Minimum Order Quantities & Audio Processing Fees:

• Approved Purchases Orders (PO) are valid for 3 months from date of issue unless extended in writing by DAVAR.
• POs are considered by Davar to be “customer approved” when received by fax, mail or email with customer signature, or if attached to an email which includes written consent.
• The PO Minimum Order Quantity (MOQ) per line item for bulk order pricing of Audibible™ players is 100 units. The Minimum Order Quantity (MOQ) per line item for unique messages or message set is 20 units.
• Smaller line item quantities are not considered a bulk order purchase and will be charged at the regular rates.
• Each “ship to” location is considered a separate line item and will be charged accordingly.
• Every unique message or message set is considered a separate line item and will be charged accordingly.
• Special consideration may be given to customers with large order quantities by special arrangement.
• Audio processing fees will be charged at a rate of US$35 (ZAR 280) per studio hour for customized messages on orders of less than 500 units per customized message. (Special arrangements may be made for messages that will be added to the Davar audio library). 

C. Shipping Terms:

• Shipping Terms are Ex-Works - all freight, import taxes, insurance and handling charges accepted by the buyer. Expedited shipping options are available, but will be at the expense of the purchaser.
• Final shipping and handling costs for bulk orders will only be known at the time of shipping.
• Orders with ship-to locations outside the USA, Canada, EU, Australia, NZ, Singapore and SADEC union may incur higher handling fees due to increased documentation and processing costs associated with these locations. To avoid excessive shipping and handling charges, it is recommended to order
  a minimum of 100 units for each unique ship-to location.

D. Shipping Lead-Times:

• Lead-times are variable and are impacted by order size, audio content, customization, and the order confirmation process. The shipping date will be provided on a case-by-case basis. Lead-time is calculated from date PO and deposit are received and confirmed, as well as from date audio messages are approved by buyer.
• Orders with ship-to locations outside the USA, Canada, EU, Australia, NZ, Singapore and SADEC Union may have longer lead times, and in such cases Davar can only supply according to the expected lead times to port of entry.
• NOTE: Please allow sufficient time in your calculations for the shipping option of your choice.

E. Payment Terms: 

• Orders of 1,000 units and over: 75% with order, 25% upon shipment notification (A price reduction is available for 100% pre-payment).
• Orders of less than 1,000 units: 100% pre-payment upon placement of the order.

F. Changes & Cancellations:

• The delivery dates and configuration of orders can be changed. Buyer should consider that such changes may result in increased costs depending on the change requested, and an additional deposit may be required to order new materials.
• Purchase Orders can be cancelled and down payments are refundable subject to the following conditions: customer will pay a cancellation fee and is responsible for all material, labor and logistic costs incurred. 
• For orders less than 2500 units, cancellation of order will result in a 90% cancellation fee based only on the Purchase Order value, and will be charged from the time of the order confirmation until 2 weeks prior to shipping; after that the cancellation fee will be 100% of the Purchase Order value and no money will be refunded.
• For orders over 2500 units, cancellations of order will result in a 50% cancellation fee based only on the Purchase Order value, and will be charged until 5 weeks prior to the first shipment on the Purchase Order value.  After 5 weeks prior and until 2 weeks prior to the first shipment, the cancellation fee will be 100% of the Purchase Order value and no money will be refunded.

G. Warranties:

• Davar products carry a limited warranty of one (1) year from date of shipment, unless otherwise noted. Please refer to the limited warranty policy on our website for further information.

H. Confidentiality:

• The terms and conditions of this agreement / quotation, will be considered confidential information and will not, except as required by law, be disclosed by the potential customer / customers to any third party without the written consent of Davar. However, potential customer / customers may disclose the terms and conditions of this agreement / quotation to its officers, directors, partners, employees, attorneys and other advisers, provided that such persons agree to the confidentiality restrictions contained herein.
